Security and Risk Assessment Committee Charter
Proven Industry Performance.

The Security and Risk Assessment Committee will have responsibility for oversight of CACI International Inc's (the Company's or CACI's) classified and sensitive high-risk work supporting defense, intelligence, and international clients. The Committee will monitor the performance of classified and sensitive high-risk work and report on this vital activity to the Company's Board of Directors.

The Committee will use its members' experience to ensure that the risks of bidding on and performing classified and sensitive high-risk work are discussed with management and reported to the Board.

Committee Membership

The CACI Security and Risk Assessment Committee will be a standing Board committee, and will include at least two directors, one of whom will serve as Chairman, appointed by CACI's Chairman of the Board of Directors. All members will have the requisite security clearance(s) to carry out their responsibilities.

Key Goals/Purpose

The primary purpose of the Security and Risk Assessment Committee is to act as the overseer of the Company's classified and sensitive high-risk work. The Committee will receive and review information from several sources, including the following:

  • Other Board members
  • Management
  • Staff
  • Industry experts

The following are key areas of involvement for the Committee:

  • To oversee briefings by CACI management on selected classified and sensitive high-risk work and bid opportunities that are unprecedented, unusual, or that may otherwise pose particular risks, as well as projects or bid opportunities referred to the Committee by the Board of Directors or a Committee member;
  • To assess business risks concerning classified and sensitive high-risk work from an operating standpoint;
  • To review the processes and organizations that support classified or sensitive high-risk program work, including business development, operations, security, risk management and insurance, human resources, contracting and procurement, and legal; and
  • To serve as a check and balance on best practices in the areas of risk management and security regarding classified and sensitive high-risk work.

Reporting to the Board

To keep the CACI Board apprised, the Security and Risk Assessment Committee will:

  • Present a brief report quarterly to the Board (and the CEO).
  • Participate, on an annual basis, in a self-assessment of the Committee's effectiveness in fulfilling its responsibilities, and report on the results of that assessment to the Board.

Board Responsibilities

Committee members should strive to achieve the following for the Board:

  • Understand the contract and business risks associated with CACI's classified and sensitive high-risk work;
  • Understand CACI's plan to mitigate the contract and business risks associated with CACI's classified and sensitive high-risk work;
  • Identify other issues and areas of interest over time.

The Committee's role is advisory in nature, and its recommendations are subject to normal approval processes.
